Terms and Conditions

1. Definitions

1. Consumer means a person acting for purposes that are not attributable to their trade, business or profession (B2C).
2. Business customer / Entrepreneur means a person or organisation acting in the course of their trade, business or profession (B2B).
3. Digital content means data produced and supplied in digital form (e.g., PDFs, e-books).

2. Subject matter of the contract

1. Digital content: Sale of training programs/guides in PDF or comparable digital format.
2. Online services: Online consultations, coaching calls, online coaching/programming.
3. In-person services: Booking of in-person assessments/training appointments.
4. Skool community: If you are redirected to Skool, a contract for community membership is not concluded with Saisan Training, but via Skool or the provider named there (separate registration/processing).

3. Conclusion of contract

1. The presentation of products/services does not constitute a legally binding offer, but an invitation to submit an order/booking.
2. A contract is concluded when you complete the order/booking in the checkout/booking process and we confirm the order/booking or provide the digital service.
3. Correction options: Before completing the purchase/booking, you can review and correct your entries in the checkout/booking process.

4. Prices, payment, invoice

1. The prices shown in the checkout apply.
2. Payments are processed via Stripe.
3. In case of late payment, we reserve the right to suspend access to digital content until payment is received (where technically possible) and/or not to perform appointments.

5. Delivery / provision of digital content

1. Digital content is generally provided immediately after payment (e.g., download link, email, member area).
2. You are responsible for ensuring the technical requirements (hardware/software/internet) necessary to access the content.

6. Online services and in-person appointments

1. Appointments (online or on-site) are deemed binding once confirmed.
2. Cancellation/rescheduling:
   • Cancellation or rescheduling up to 24-48 hours before the appointment start time is free of charge.
   • For later cancellations/no-shows, a cancellation fee of 100% of the agreed fee may be charged.
3. In case of force majeure/technical disruptions (e.g., platform outage), the appointment will be rescheduled where possible; further claims are excluded to the extent permitted by law.

7. Right of withdrawal (cancellation) - consumers only (B2C)

1. Consumers generally have a 14-day right of withdrawal for distance contracts under the Austrian FAGG. Details are governed by the separate Withdrawal Information on the website.
2. Digital content (PDF/download) - expiry of the right of withdrawal:

   The right of withdrawal may expire for digital content not supplied on a tangible medium if the consumer:

   • expressly agrees that performance begins before the withdrawal period expires, and
   • confirms that they thereby lose their right of withdrawal.

   (These declarations must be properly implemented in the checkout, typically via separate checkboxes.)

3. B2B: Business customers do not have a right of withdrawal under the FAGG.

8. Rights of use for digital content (copyright)

1. Upon purchase, you receive a non-exclusive, non-transferable right to use the digital content for personal use only.
2. In particular, it is prohibited to: share, publish, sell, upload to groups/clouds, or reproduce beyond personal use.
3. Violations may be pursued under civil law; we also reserve the right to block access.

9. Customer cooperation obligations (especially coaching)

1. You agree to provide accurate information on training history, complaints/injuries and goals insofar as this is relevant for coaching/planning.
2. You are responsible for having your fitness/health suitability medically clarified before starting a training program if you have symptoms/pre-existing conditions.
3. Our services do not replace medical diagnosis or treatment.

10. Warranty / defects (B2C vs B2B)

1. B2C (consumers): For digital services, warranty rules under the Austrian Consumer Warranty Act (VGG) apply where applicable.
2. B2B (business customers): Statutory warranty rules apply (typically ABGB), with warranty rights being restrictable by contract to the extent permitted by law.
3. No exclusion of mandatory rights: Mandatory consumer rights are not restricted by these Terms and Conditions.

11. Liability

1. We are liable for damages only in cases of intent and gross negligence, to the extent permitted by law.
2. In cases of slight negligence, we are liable only for breach of essential contractual obligations and limited to the typically foreseeable damage (to the extent permitted by law).
3. Liability for loss of profit, data loss, and indirect damages is excluded in the B2B area to the extent permitted by law.

12. Data protection

Information on how we process personal data can be found in the Privacy Policy on the website.

13. Changes to services / Terms and Conditions

1. We may technically update digital content where this is necessary for error correction/security and your legitimate interests are protected.
2. Changes to these Terms and Conditions apply only to future contracts. For existing contracts, the Terms and Conditions accepted at the time of contract conclusion apply.

14. Final provisions

1. Governing law: Austrian law applies to the exclusion of conflict of law rules, to the extent permitted.
2. Jurisdiction:
   • B2B: Vienna as the place of jurisdiction, if permissible.
   • B2C: statutory jurisdictions apply (no disadvantageous deviation).
3. If individual provisions are invalid, the remainder of the contract remains valid; in place of the invalid provision, the statutory provision applies.
